Grevenmacher (Grand Duchy of Luxembourg), September 17, 2026 – The General Partner of H2APEX Group SCA (the “Company”, ISIN: LU0472835155 and the “General Partner”) resolved today to realign the stock exchange listing of the Company’s shares. For this purpose, preparations will be made to transfer the stock exchange listing from the Regulated Market (Prime Standard) of the Frankfurt Stock Exchange (“Regulated Market”) to the Scale Segment of the Open Market of the Frankfurt Stock Exchange (“Scale Segment”), and the necessary applications will be submitted.
The Company intends to apply in the near future to the Frankfurt Stock Exchange for the revocation of the admission of the Company’s shares to trading on the Regulated Market pursuant to Section 39(2) of the German Stock Exchange Act (BörsG) and, at the same time, for the inclusion of the Company’s shares in trading on the Scale Segment.
The General Partner is of the opinion that the Scale Segment, as a growth market for small and medium-sized enterprises (SMEs), provides a suitable and appropriate trading framework for the Company’s shares. In the opinion of the General Partner, the regulatory requirements and costs associated with the Company’s current listing on the Regulated Market are no longer proportionate to the related benefits for a company of the Company’s size. The transfer to the Scale Segment is intended to reduce the Company’s administrative burden and enable it to allocate more resources on its operative business without sacrificing the continued public tradability of its shares on the Frankfurt Stock Exchange.
The segment transfer will take effect after the application has been filed and the Frankfurt Stock Exchange’s decisions have been published. Following a change in the law, this transfer from the Regulated Market to the Scale Segment is now permitted even without an accompanying delisting tender offer.
The Company will keep the capital market informed about the further course of the proceedings in accordance with legal requirements.
